674-MW Salem Harbor project due for test startup in January 2017

Footprint Power Salem Harbor Development LP on Nov. 28 filed with the Federal Energy Regulatory Commission a notice of self-certification of Exempt Wholesale Generator status based on its development, ownership and operation of a 674-MW natural gas-fired, combined-cycle facility in Salem, Massachusetts.

The facility will be interconnected with transmission facilities owned and controlled by New England Power, within the ISO New England regional transmission organization. The facility is presently expected to commence electric generation and begin sales of test energy as early as January 2017.

Prior to making any sale of power at wholesale that is subject to the commission’s jurisdiction, the company said it will apply for and obtain market-based rate authority. It filed that application on Nov. 29. The company has a commitment to provide 674 MW of capacity for a five-year period commencing on June 1, 2017, pursuant to the seventh Forward Capacity Auction conducted by ISO New England in February 2013 to procure generating capacity for the 2016-17 commitment period.

The applicant is governed under a Master Governing Agreement by and among Highstar Footprint Main Interco LLC, Highstar Footprint Prism/IV-A Interco LLC, Toyota Tsusho Salem Harbor LLC, Footprint Power Salem Harbor Holdings LP, Highstar Footprint Power Holdings LP and Highstar Footprint Holdings GP LLC. The “Highstar Owners” (which under the Master Governing Agreement includes the Highstar Intercos as well as the Highstar IV Funds) hold 87.5% of the Class A Units of the applicant. Toyota Tsusho holds 12.5% of the Class A Units. Footprint holds 100% of the Class B Units.

The applicant is governed by a board, the members of which are named only by the Highstar Owners, Toyota and Footprint. The only voting or equivalent board positions will be held by persons named by the Highstar Owners (6 appointees, or 75% of the positions), Toyota (one appointee, or 12.5%) and Footprint (one appointee, or 12.5%).

This is a repowering project for the oil- and coal-fired Salem Harbor plant, which was retired earlier this decade.
